THIS TERMS OF USE AGREEMENT (THE “TERMS”) SETS OUT THE RULES AND CONDITIONS FOR YOUR ACCESS TO AND USE OF THE ONLINE SERVICES OPERATED BY WE-TWEAK SA, A COMPANY REGISTERED IN NEUCHÂTEL, SWITZERLAND (“WE-TWEAK”, “WE”, OR “US”). THESE SERVICES INCLUDE, BUT ARE NOT LIMITED TO, OUR WEBSITES WWW.WE-TWEAK.COM / WETWEAK.COM (TOGETHER, THE “WEBSITE(S)”), ANY MOBILE OR DESKTOP APPLICATIONS (EACH, AN “APP”), AND ALL FEATURES, SOFTWARE, CONTENT, AND RESOURCES MADE AVAILABLE THROUGH THE WEBSITES OR APPS (COLLECTIVELY, THE “SERVICE”).
BY REGISTERING FOR AN ACCOUNT, ACCESSING OR USING THE SERVICE, OR CLICKING AN “ACCEPT” OR SIMILAR BUTTON, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT MEET THE ELIGIBILITY REQUIREMENTS (SEE SECTION 3) OR IF YOU DISAGREE WITH ANY PART OF THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SERVICE AND MUST NOT ACCESS IT.
PLEASE BE AWARE THAT SECTION 13 (GOVERNING LAW, MEDIATION AND JURISDICTION) DESCRIBES HOW DISPUTES BETWEEN YOU AND WE-TWEAK WILL BE HANDLED. IN PARTICULAR, ALL CLAIMS, ACTIONS, OR CONTROVERSIES WILL BE SUBJECT TO SWISS LAW AND EXCLUSIVELY RESOLVED IN THE COURTS OF NEUCHÂTEL, SWITZERLAND.
ALL CLAIMS OR REQUESTS FOR RELIEF CONNECTED TO YOUR USE OF THE SERVICE WILL BE GOVERNED AND INTERPRETED IN ACCORDANCE WITH SWISS LAW. CONFLICT-OF-LAW PRINCIPLES OR THE APPLICATION OF FOREIGN LAW SHALL NOT APPLY. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY EXCLUDED.
1. General / Scope of Application
1.1 These Terms of Use (“Terms”)
Apply to all access to and use of the Service provided by We-Tweak SA, headquartered in Rue Closel 28, 2074 Marin-Epagnier, Neuchâtel, Switzerland.
1.2 The Service includes
Access to digital content and tools made available on the Websites and Apps, including (but not limited to):
- 
Audio samples, MIDI files, templates, and sound collections. 
- 
Presets for virtual instruments. 
- 
Courses, tutorials, and educational content. 
- 
Software plugins, including but not limited to the Hammer plugin. 
- 
Subscription services (TweakLite, TweakGo, TweakGo+). 
- 
Credit-based purchases (W-Credits). 
1.3 These Terms govern
The entire contractual relationship between We-Tweak and any person using the Service (“User”). By using the Service, the User accepts the Terms as binding.
1.4 We-Tweak reserves the right to update or amend these Terms
At any time, in accordance with Section 14 (Changes to the Terms). Users will be notified of significant changes by email (where possible) and/or by publication on the Websites.
1.5 These Terms apply exclusively.
Any general conditions of the User or third parties shall not apply, even if We-Tweak does not expressly object to them.
2. Definitions
For clarity and consistency, the following terms are used throughout these Terms with the meanings defined below:

“We-Tweak”, “We”, “Us”, “Our”: Refers to We-Tweak SA, incorporated in Neuchâtel, Switzerland. 
- 
“User”, “You”, “Your”: Refers to any individual or entity that accesses, registers for, or uses the Service. 
- 
“Service”: Collectively refers to the Websites, Apps, features, content, software, subscriptions, plugins, credit system, and all other services and resources provided by We-Tweak. 
- 
“Website(s)”: The official websites operated by We-Tweak, including www.we-tweak.com and wetweak.com. 
- 
“App(s)”: Any mobile or desktop applications provided by We-Tweak to access or use the Service. 
- 
“Content”: Any digital material accessible through the Service, including but not limited to audio samples, MIDI files, presets, templates, DAW kits, collections, plugins, video tutorials, and educational resources. 
- 
“Credits” or “W-Credits”: The virtual currency used within the Service to unlock or purchase Content, allocated through subscriptions or direct purchase. 
- “Freemium ”: Free access to certain Service features (e.g., TweakLite, free packs, free tutorials).
- 
“Subscription”: A recurring payment plan (e.g., TweakGo, TweakGo+) that grants the User credits and access to certain Service features. 
- 
“Pay-As-You-Go”: A credit purchase option available without a subscription, allowing Users to buy and spend W-Credits directly. 
- 
“Creator”: Any sound designer, producer, instructor, or partner who provides Content to the Service, either owned by We-Tweak or licensed contractually. 
- 
“Plugin”: Any software product made available by We-Tweak, including Hammer or other future plugins. 
- 
“Course” or “Tutorial”: Educational content (video or otherwise) provided on the platform for personal use. 
- 
“Account”: The personal profile created by the User to access and use the Service. 
- 
“Beta”: Any early-access version of the Service or its features that may contain bugs, errors, or incomplete functionalities, provided for testing and feedback purposes. 
3. Eligibility & User Accounts
3.1 Eligibility
To register and use the Service, you must be at least 18 years old. The Service is not intended for children under 13.
By creating an Account, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.
3.2 Account Registration.
Certain features require creating an account (“Account”). When you register, you must provide accurate, current, and complete information and keep it updated. You agree not to use:
- Another person’s name with the intent to impersonate;
- A name you lack rights to use; a name that is fictive, or
- Any username that is offensive, vulgar, or otherwise inappropriate. We-Tweak may refuse or reclaim a username at our discretion.
Not respecting this rules may lead to suspension or termination
3.3 Credentials & Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your Account. Notify us immediately at support@we-tweak.com if you suspect unauthorized use or a security breach.
We-Tweak is not liable for losses resulting from unauthorized use of your credentials.
3.4 Number of Accounts
We allow multiple Accounts per individual (e.g., separate personal and professional profiles). However, creating or using multiple Accounts to circumvent limitations, pricing, regional rules, or enforcement actions is prohibited and may lead to suspension or termination.
3.5 Account Types (Overview)
Your Account may be associated with one of the following plans (details in Section 9 – Fees & Payments):
- 
TweakLite (Free): 0 credits by default; access to free features and previews. 
- 
TweakGo (Monthly): 10€/month, 100 W-Credits/month; access to platform content, credits required to unlock non-free items. 
- 
TweakGo+ (Annual): 100€/year, 1200 W-Credits/year; access to platform content, credits required to unlock non-free items, welcome pack, and access to beta tools when available. 
- 
Pay-As-You-Go (No subscription): purchase W-Credits in packs (e.g., 100 / 200 / 500) usable to unlock content. 
 By default, if you have no active subscription, your Account is treated as TweakLite.
3.6 Misuse & Fraud
We may suspend or terminate immediately any Account we reasonably believe is involved in or facilitates: credential sharing, access resale, scraping or bulk downloading, credit/chargeback fraud, unauthorized redistribution of Content, reverse engineering of plugins/tools, or any activity that violates these Terms or applicable law.
Suspension does not entitle you to any refund.
3.7 Necessary Equipment & Software
You are responsible for the equipment, software, compatible DAW(s), and internet connection required to use the Service, and for any associated charges.
3.8 Account Closure by You
You may delete your Account at any time from your profile settings or by contacting support@we-tweak.com.
Upon deletion, all data linked to your Account, including but not limited to : purchase history, unlocked items, credits balance, and library access, will be permanently lost and cannot be restored and refunded.
3.9 Service Changes
We-Tweak may add, modify, or remove features at any time. If material changes negatively impact essential functionality you paid for, Section 12 “(Governing Law, Mediation & Jurisdiction)” and “Section 9 (Fees & Payments)” describe your rights and remedies.
4. The Service, Catalogue & Usage Licenses
4.1 Description of the Service
The Service provides access to a catalogue of creative audio content and educational materials, preview functionality, software tools, and learning resources. Unless otherwise indicated, all unlocks are carried out using W-Credits (“W-Credits”).
4.2 W-Credits (general rules)
- W-Credits allow you to unlock premium catalogue items (independent of any subscription).
- W-Credits are non-cash, non-transferable, and non-refundable (except as required by law).
- Typical values may vary by item and are shown on the product page. As a guide:
- Samples: ~1 W-Credit
- MIDI files: ~2 W-Credits
- Presets: ~3 W-Credits
- DAW Kits / Templates / Collections / Courses: variable (displayed at time of unlock)
 
- W-Credits included with TweakGo (100/month) or TweakGo+ (1200/year) are credited according to the subscription cycle. Pay-As-You-Go purchases (packs of 100 / 200 / 500 credits) are available to all accounts.
- W-Credits are not electronic money; they represent a limited license right to use content within the Service.
4.3 Content types & unlocks
Unless otherwise indicated, unlocking grants the right to download or access the following:
- 
Samples, one-shots, loops, stems 
- 
MIDI files 
- 
Presets (synths/effects) 
- 
DAW Kits & Templates 
- 
Full Collections (packs) 
- 
Courses & Tutorials (user-only access) 
 Items may include streamable previews before unlocking. Any unlock or download is final and non-refundable (see Section 9 for refund policy).
- Any other product service provided on the plateforme using the w-credits system.
4.4 Usage license – Common rules (Royalty-free)
Unless otherwise stated, all content is licensed, not sold, and provided for use in your creative works (“Works”):
- Commercial use allowed: You may incorporate content into music, soundtracks, games, films, social content, podcasts, live events, etc., royalty-free.
- Modification allowed: You may edit, process, combine, and layer content.
- Strict prohibitions (including modified content):
- 
Resale, relicensing, sharing or redistribution of content in its raw form. 
- 
Use of content as source material for competing products (sample packs, preset packs, loop libraries, marketplaces). 
- 
Automated scraping, extraction, or re-hosting of content. 
- 
Use in AI training datasets or machine learning models. 
- 
Any infringement of We-Tweak’s or partners’ intellectual property rights. - 
Artist names/likeness: You may not imply endorsement or use an artist’s name, brand, or likeness without written consent. 
- 
Ownership: You retain ownership of your own original contributions. You never acquire ownership of catalogue items you downloaded.

4.5 Specific rules by content type
- Samples & Audio (100% royalty-free)
 Unlimited use in Works. Prohibited: resale, redistribution, or re-packaging of isolated samples.
- MIDI files
 Free use in compositions. Prohibited: resale or redistribution of raw MIDI files.
- Presets
 Unlimited use in productions. Prohibited: resale or redistribution in soundbanks/preset packs.
- DAW Kits, Templates & Collections
 Use as a basis for production. Prohibited: reselling or redistributing project/session files “as-is” or passing them off as original turnkey work.
- Courses & Tutorials
 Access is personal and non-transferable. Prohibited: account sharing, public broadcasting, recording, re-uploading, or collective/educational exploitation without a specific license.
4.6 Plugins & tools
- Hammer (VST Plugin):
 
 Hammer is sold separately through its dedicated product page and is not available via W-Credits. It is provided under a perpetual license. No demo version is offered. Refunds for Hammer are subject to Section 7 (Payments & Refunds) and the Hammer Refund Policy.
- Beta Tools (included with TweakGo+):
- Certain tools or features (such as beta plugins or experimental functionalities offered with TweakGo+ or similar plans) may be provided in a beta or early access stage. These are supplied strictly on an “as is” basis, with no guarantees of stability, compatibility, or availability.
- Beta tools may be modified, limited, or discontinued at any time without prior notice.
- No refunds or compensation are available for beta tools, as they are considered a free benefit or early-access feature tied to your subscription.
- By using beta tools, you acknowledge the experimental nature of such features and agree that We-Tweak SA is not liable for any issues, data loss, or damages resulting from their use.
 
4.7 Preview system
The Service provides previews (where available) to evaluate content before unlocking. Therefore, all unlocks/downloads are final and non-refundable (except in cases of fraud or where legally required).
4.8 No open UGC
We-Tweak does not allow open public uploads. All distributed content is reviewed and contracted prior to publication. Unauthorized or infringing uploads may result in immediate removal and creators account termination.
4.9 Technical protections
To protect creators, We-Tweak may implement anti-abuse safeguards (e.g., rate limits, watermarking, anti-scraping, hash-matching). Users may not attempt to bypass these measures.
4.10 Non-transferable license
Licenses are personal & non-transferable. Any resale, transfer, loan, shared, or sublicensing of access or content is not allowed.
4.11 Legal compliance
Users are responsible for ensuring that their own inputs (e.g., vocals, imported third-party samples, files shared) comply with applicable laws, including copyright, trademarks, privacy, and publicity rights.
4.12 Takedowns & infringement
We-Tweak may remove or suspend content suspected of infringement and may terminate accounts of repeat offenders.
Notices of infringement should be sent to support@we-tweak.com with all required information (identification of the work, infringing material, contact info, sworn statement).
Counter-notices will be handled under applicable Neuchâtel Swiss law.
5. User Responsibilities and Acceptable Use
5.1 Account Security
- 
You are solely responsible for maintaining the confidentiality of your login credentials. 
- 
Account sharing (including but not limited to giving access to friends, colleagues, or third parties) is strictly prohibited. 
- 
Any unauthorized use of your account must be reported immediately to We-Tweak. 
- 
We-Tweak may suspend or terminate any account suspected of fraudulent or abusive activity without prior notice without any refund possible. 
5.2 Respectful Conduct
- 
You agree to use the Service in a respectful and lawful manner. 
- 
0 Tolerance : Harassment, discrimination, hate speech, or any inappropriate conduct directed at other users, creators, or We-Tweak staff will not be tolerated. 
- 
You may not upload, distribute, or transmit any harmful, illegal, or infringing content through the Service or community social spaces. 
5.3 Proper Use of Content
- 
All content (including samples, presets, MIDI, templates, courses, and other digital materials) downloaded from We-Tweak is for personal use only under the license granted. 
- 
Redistribution, resale, uploading to file-sharing platforms, or making content available to third parties is strictly prohibited. 
- 
Content cannot be used in competitive products such as soundbanks, sample packs, preset libraries, or similar offerings. 
5.4 Prohibited Behavior
When using the Service, you agree not to:
- 
Attempt to bypass, hack, or disable the credits system or payment mechanisms. 
- 
Reverse-engineer, decompile, or otherwise attempt to extract source code from any plugin, software, or tool provided by We-Tweak. 
- 
Use automated bots, scripts, scrapers, or other technical means to access or download content outside of the intended platform interface. 
- 
Exploit, misuse, or overload the Service in ways that could harm its integrity, availability, or reputation. 
5.5 Reporting and Feedback
- 
Users are encouraged to report bugs, issues, or abusive behavior via support@we-tweak.com. 
- 
By submitting feedback or suggestions, you grant We-Tweak a royalty-free, perpetual license to use such input for the improvement of the Service. 
6. Intellectual Property Rights
6.1 Ownership of Content
- 
All content available on the Service, including but not limited to samples, presets, MIDI files, templates, video courses, plugins, software, and beta tools (collectively, “Content”), remains the sole property of We-Tweak SA or its contracted creators and partners. 
- 
By purchasing or downloading Content, you are granted a limited, non-exclusive, non-transferable, revocable license to use such Content in accordance with these Terms. 
- 
No ownership of intellectual property is transferred to you. 
6.2 License Granted to Users
- 
You may use samples, presets, MIDI files, and templates in combination with your own original music for commercial and non-commercial purposes. 
- 
You may edit, adapt, or modify such Content for use in your own productions. 
- 
You may distribute music or productions created with We-Tweak Content through any medium (e.g., streaming platforms, films, games, live performances). 
- 
Content is 100% royalty-free for such uses following Licence rules. 
6.3 Prohibited Uses
You are strictly prohibited from:
- 
Reselling, redistributing, sublicensing, or otherwise making Content available in isolation (e.g., reselling in sample packs, preset libraries, soundbanks, or similar products). 
- 
Uploading Content (in original or modified form) to file-sharing platforms, torrents, or other unauthorized distribution channels. 
- 
Claiming ownership of any We-Tweak Content or implying endorsement by We-Tweak or its creators. 
- 
Using Content in a way that violates applicable copyright laws or infringes on the rights of third parties. 
6.4 Plugins & Software
- 
Plugins such as Hammer are licensed, not sold. 
- 
Reverse engineering, cracking, key-sharing, or unauthorized distribution of plugins is strictly prohibited. 
- 
Beta tools provided under TweakGo+ subscriptions are offered “as is” and remain the sole property of We-Tweak. 
6.5 User-Generated Content (if applicable)
- 
If you upload or submit any content (e.g., comments, feedback, reviews, or collaborative material), you grant We-Tweak a worldwide, royalty-free, perpetual license to use, reproduce, adapt, distribute, and display such content in connection with the Service. 
- 
You retain ownership of your original works but waive any claims against We-Tweak for the use of such submissions. 
6.6 Infringement Policy
- 
We-Tweak respects intellectual property rights. If you believe that Content available on the Service infringes your copyright or other rights, you may contact us at support@we-tweak.com with full details. 
- 
Upon verification, We-Tweak reserves the right to remove infringing material and/or suspend accounts involved in repeated violations. 
7. Payments and Refunds
7.1 Subscription Plans and Credits
- 
Access to paid features of the Service is based on subscriptions and/or credits (“W-Credits”). 
- 
Available subscription tiers include: - 
TweakLite (Free): No subscription, no credits. Limited access. 
- 
TweakGo (Monthly): €10/month, includes 100 W-Credits. 
- 
TweakGo+ (Annual): €100/year, includes 1200 W-Credits, welcome pack, and beta tool access. 
- 
Pay-As-You-Go: Purchase credits without subscription (e.g., 100 credits for €15, 200 credits for €25, 500 credits for €50). 
 
- 
- 
Credits are deducted when unlocking content (e.g., 1 for a sample, 3 for a preset, variable for courses/templates). 
- 
Credits hold no monetary value, cannot be exchanged for cash, and expire with account termination. 
7.2 Payment Processing
- 
All payments are processed via secure third-party providers (e.g., Stripe, PayPal, or others displayed at checkout). 
- 
By providing your payment information, you authorize us and our payment processors to charge the applicable fees. 
- 
Users are responsible for ensuring payment details are accurate and valid. 
7.3 Auto-Renewals
- 
Subscriptions automatically renew at the end of their billing cycle (monthly or yearly). 
- 
Users can cancel auto-renewal at any time via their account settings. Cancellation will prevent future charges but does not entitle to refunds for past charges. 
7.4 Refund Policy (General – Subscriptions & Credits)
- 
First-time subscription purchases are eligible for a refund within 7 days of purchase, provided no credits have been used to unlock content. 
- 
Once credits are used to download or unlock any digital content, the transaction is final and non-refundable, since previews and demos are available prior to purchase. 
- 
Subscription renewals are generally non-refundable, except in cases of proven billing error. 
EU/UK Consumers:
In accordance with consumer protection law, EU and UK users generally have a 14-day right of withdrawal for digital purchases. However, by starting a download, unlocking content with credits, or accessing subscription benefits, you expressly consent to the immediate performance of the service and acknowledge that your statutory withdrawal right is waived once the digital content is supplied.
7.5 Refund Policy for Plugins (Hammer VST)
- 
Hammer is sold separately and subject to the We-Tweak Refund Policy. 
- 
Users have 7 days from the date of purchase to request a refund, provided the plugin has not been downloaded, activated, or misused. 
- 
Refunds are not available if: - 
The plugin has been downloaded or activated. 
- 
The user failed to meet system requirements (e.g., incompatible DAW, unsupported OS). 
- 
The user ignored installation or usage instructions. 
 
- 
- 
Exceptions: refunds may be granted if Hammer fails to function as advertised (e.g., crashes or does not open in a supported DAW), subject to case-by-case review. 
EU/UK Consumers:
By purchasing and downloading Hammer, you expressly consent to waive the 14-day statutory withdrawal right once the plugin is downloaded or activated.
7.6 Chargebacks and Disputes
- 
Unauthorized chargebacks will be treated as a breach of these Terms. We reserve the right to suspend or terminate accounts associated with fraudulent chargebacks. 
- 
Users should first contact support@we-tweak.com to resolve billing issues before initiating a dispute with their payment provider. 
7.7 Taxes & Currency
All prices are shown in EUR (€). Applicable VAT, sales tax, or other transaction taxes may be added depending on your billing country.
8. Limitation of Liability & Disclaimers
8.1 Service Provided “As Is”
The Service, including all content, plugins, software, and tools, is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, We-Tweak disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We-Tweak does not warrant that the Service will be uninterrupted, timely, secure, error-free, or that it will meet your specific expectations. (See Section 8.4 for mandatory consumer rights that cannot be disclaimed.)
8.2 No Guarantee of Results
We-Tweak does not guarantee that use of the Service will result in successful artistic, professional, or commercial outcomes. All creative use is at your own risk.
8.3 Limitation of Liability
To the maximum extent permitted by law, We-Tweak SA, its affiliates, creators, and licensors shall not be liable for:
- 
indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, data, business, goodwill, or opportunity. 
Our total aggregate liability for any claim arising from the Service shall not exceed the greater of (i) the total amount you paid to We-Tweak in the 6 months preceding the claim, or (ii) EUR 100.
8.4 Jurisdictional Carve-outs
Nothing in these Terms shall exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
8.5 Force Majeure
We-Tweak shall not be held responsible for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, war, strikes, internet outages, government actions, or failures of third-party service providers.
9. Downloads, Availability & Backups
9.1 Not a Backup Service
We-Tweak is not a file-hosting or backup service. Once content (samples, presets, templates, MIDI files, courses, plugins, or other digital products) is downloaded to your device, it is your responsibility to securely store and back up that content.
9.2 Availability of Content
We-Tweak does not guarantee that content, once made available, will remain accessible for re-download at any future date. Content may be removed at any time for business, technical, or legal reasons (including rights management or copyright takedown requests).
9.3 No Duty to Replace
If you delete, lose, or misplace downloaded content, We-Tweak is under no obligation to provide replacement copies.
9.4 Service Uptime
The Service is provided on an “as available” basis. While We-Tweak makes reasonable efforts to maintain uptime, we do not guarantee uninterrupted access, error-free operation, or continuous availability of downloads. Planned maintenance, technical issues, or third-party service failures may cause temporary unavailability.
10. Termination of Service
10.1 Termination by We-Tweak
We-Tweak SA reserves the right, at its sole discretion, to suspend or terminate your account, access to the Service, or any associated licenses without prior notice if:
- 
You breach these Terms of Use or any applicable law. 
- 
You engage in fraudulent, abusive, or unauthorized activity (including but not limited to credit abuse, sharing login credentials, unauthorized redistribution of content, or attempts to circumvent our systems). 
- 
Your actions compromise the security, integrity, or reputation of the Service, our creators, or other users. 
In such cases, all rights granted to you under these Terms will immediately cease. Any unused credits or subscription period will be forfeited without refund.
10.2 Termination by User
You may terminate your account at any time through your profile settings. Upon termination, your account data, credits, and purchase history will be permanently deleted, and you will lose access to any previously purchased or downloaded content. We strongly recommend that you back up your downloads before closing your account.
10.3 Effect of Termination
Upon termination for any reason:
- 
You must immediately cease all use of the Service. 
- 
Your license to any content, tools, or products obtained through the Service will automatically end, unless explicitly stated otherwise. 
- 
We-Tweak is not obligated to store, maintain, or provide access to your data after termination. 
11. Links to Other Websites
11.1 Third-Party Links

12. Governing Law
12.1 Applicable Law
These Terms shall be governed by, and construed in accordance with, the laws of Switzerland, without regard to conflict of law principles.
12.2 Jurisdiction
Any dispute, claim, or legal proceeding arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Neuchâtel, Switzerland.
12.3 Exclusion of International Conventions
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms.
12.4 Consumer Rights
If you are a consumer residing in a jurisdiction that grants mandatory legal rights (e.g., EU, UK), those rights remain unaffected by this Section.
12.5 Limitation Period

13. Dispute Resolution & Arbitration
13.1 Informal Resolution
Before starting formal proceedings, you must first contact us at support@we-tweak.com and allow thirty (30) days for us to attempt to resolve the matter informally.
13.2 Mediation
If informal resolution fails, both parties agree to attempt resolution through at least one (1) mediation session with a neutral mediator in Switzerland. The mediator shall be jointly selected by both parties. Mediation costs shall be shared equally unless otherwise agreed.
13.3 Arbitration Agreement
If mediation fails, any dispute, controversy, or claim arising out of or relating to the Service or these Terms shall be finally resolved by binding arbitration administered by the Swiss Chambers’ Arbitration Institution (SCAI) in accordance with the Swiss Rules of International Arbitration in force at the time of the dispute.

The seat of arbitration shall be Neuchâtel, Switzerland. 
- 
The language of the proceedings shall be English. 
- 
The number of arbitrators shall be one (1), unless the amount in dispute exceeds EUR 50,000, in which case the tribunal shall consist of three (3) arbitrators.

The decision of the arbitrator(s) shall be final and binding on both parties, and judgment upon the award may be entered in any court of competent jurisdiction. 
13.4 Consumer Rights Carve-Out
If you are a consumer residing in a jurisdiction that grants mandatory statutory dispute resolution rights (e.g., EU small claims court access), nothing in this Section 13 limits those rights.
13.5 Class Action Waiver
You agree to resolve disputes with We-Tweak only on an individual basis. You may not bring claims as a plaintiff or class member in any class, collective, or representative proceeding.
13.6 Injunctive Relief
Notwithstanding the above, We-Tweak may seek immediate injunctive or equitable relief in a court of competent jurisdiction, including but not limited to the courts of Neuchâtel, Switzerland, to protect its intellectual property, confidential information, or prevent unauthorized use of the Service.
14. Changes to Terms
These Terms, together with our Privacy Policy, Refund Policy, and any additional guidelines or policies referenced herein, constitute the entire agreement between you and We-Tweak SA regarding your use of the Service. They supersede all prior or contemporaneous communications, proposals, and understandings (whether oral or written) relating to the Service.
14.1 Right to Modify
We-Tweak SA reserves the right to amend, update, or otherwise modify these Terms at any time, at its sole discretion. Unless a later effective date is specified, updates take effect upon publication on our Website. The “Last Updated” date at the top of these Terms will always indicate the most recent version.
14.2 Notification of Changes
If changes are material, we will notify you through reasonable means, such as email (if you have provided one) or by a prominent notice on the Website or Service.
14.3 Acceptance of Changes
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and may request account deletion in accordance with Section 10.
14.4 User Responsibility
You are responsible for reviewing these Terms regularly. Failure to review them does not relieve you of your obligations.
14.5 Survival
Even after termination of your account, the following sections shall survive: Intellectual Property Rights, Payments & Refunds, Limitation of Liability, Governing Law & Disputes, and Entire Agreement.

You agree to indemnify, defend, and hold harmless We-Tweak SA, its affiliates, creators, and partners from any claims, damages, liabilities, and expenses arising from your misuse of the Service or violation of these Terms.
16. Waiver and Severability

18. Licensing of Digital Content
18.1 General License Grant

All digital content available through We-Tweak (including but not limited to samples, presets, MIDI files, templates, DAW kits, courses, and plugins) is licensed, not sold.

By purchasing, downloading, or accessing such content, you are granted a non-exclusive, non-transferable, royalty-free license to use the content in accordance with these Terms. 
- 
All intellectual property rights in the content remain with We-Tweak SA or the respective creator/partner. 
18.2 Samples, Presets, MIDI Files, Templates, and DAW Kits
- 
These assets may be used for personal and commercial music production without any additional clearance. 
- 
You may modify, edit, and incorporate them into original musical works. 
- 
You may not redistribute, resell, sublicense, or otherwise share the raw content, either in its original form or in modified/isolated form (e.g., as part of another sample pack, preset library, or standalone soundbank). 
18.3 Courses and Tutorials
- 
Access to courses and tutorials is licensed for individual use only. 
- 
Redistribution, public broadcasting, or use in educational/commercial environments (e.g., classrooms, institutions) requires a separate written agreement with We-Tweak SA. 
- 
Downloading and re-uploading courses to third-party platforms is strictly prohibited. 
18.4 Plugins (e.g., Hammer)
- 
Plugins are licensed under a perpetual, single-user license unless otherwise specified. 
- 
Reverse engineering, copying, sublicensing, or distributing plugins is strictly prohibited. 
- 
Refunds for plugins are subject to the We-Tweak Refund Policy and specific conditions outlined in Section 4.6. 
18.5 Prohibited Uses

19. Copyright & Infringement Policy (DMCA / Global)
We-Tweak SA respects intellectual property rights worldwide and expects Users to do the same.
This Section describes our notice-and-takedown procedure modeled on the U.S. DMCA and aligned with Swiss/EU practice. While We-Tweak is a Swiss company and Swiss law and the courts of Neuchâtel govern disputes (see Sections 12–14), we accept DMCA-formatted notices from rightsholders globally.
19.1 Scope
This Policy applies to any material available via the Service, including without limitation: samples, one-shots, loops, stems, MIDI files, presets, DAW kits/templates, collections/packs, courses/tutorials, artwork, text, and any other content (“Alleged Material”).

19.3 Content of a Copyright Notice (Takedown Request)
If you believe material on the Service infringes your rights, your notice must include:

Identification of the Alleged Material claimed to be infringing, with enough detail to locate it on the Service (e.g., product/pack name, URL, screenshot, account/creator name).

- 
A statement that you have a good-faith belief the disputed use is not authorized by the rights holder, its agent, or the law.

19.4 What We Do Upon Valid Notice
Upon receipt of a notice that substantially complies with 19.3, We-Tweak may:

Disable access to or remove the Alleged Material (in whole or part), and 
- 
Notify the User/creator who made the material available, and 
- 
Where appropriate, request additional information from either party. 
In urgent or clear-cut cases, removal may occur before contact with the User. We may also suspend distribution of related items while we evaluate.
19.5 Counter-Notice (If You Believe a Mistake Was Made)
If your material was removed or disabled and you believe this is a mistake or misidentification, send a Counter-Notice including:

Your physical or electronic signature. 
- 
Identification of the material removed or disabled and where it appeared before removal. 
- 
A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled due to mistake or misidentification.

Your full contact information (name, postal address, phone, and email).

A statement that you consent to the jurisdiction of the courts of Neuchâtel, Switzerland, and that you will accept service of process from the complainant (or its agent). 
Upon receipt of a compliant Counter-Notice, We-Tweak may forward it to the complainant. Unless the complainant notifies us within a reasonable period that it has filed an action seeking a court order, We-Tweak may restore the material at our discretion.
19.6 Repeat Infringers
We-Tweak may, in appropriate circumstances and at its sole discretion, terminate or suspend accounts of Users who are deemed repeat infringers. Factors can include the number, validity, and recency of notices and Counter-Notices, the nature of the material, and any adjudicated infringements.
19.7 Abusive or Knowing Misrepresentations
Submitting knowing and material misrepresentations in a notice or Counter-Notice may expose the sender to liability for damages, costs, and attorneys’ fees. We-Tweak reserves all rights and remedies for fraudulent, bad-faith, or abusive notices or Counter-Notices.
19.8 Privacy & Disclosure
We-Tweak may share notices and Counter-Notices (including contact information) with the opposing party and, if necessary, with courts, counsel, or relevant authorities. We process personal data in accordance with our Privacy Policy.
19.9 No Legal Advice; No Waiver
We-Tweak cannot provide legal advice. Nothing in this Policy limits our rights to remove content, disable access, or terminate accounts at any time, with or without notice, consistent with these Terms.
19.10 Non-Copyright Claims
For trademark, publicity/privacy, or other rights complaints, contact us at support@we-tweak.com with sufficient detail to identify the rights asserted, the material at issue, and your requested action. We will review under applicable law and our policies.
